Terms of service

Last updated: September 23, 2026

These Terms of Service ("Terms") are a binding agreement between you and SuperPrime LLC, a California limited liability company doing business as SleepCocoa ("SleepCocoa," "we," "us," or "our"). They govern your use of www.sleepcocoa.com and any related pages, emails, text messages, customer accounts, subscriptions, and products (together, the "Services").

PLEASE READ SECTION 17 (DISPUTE RESOLUTION) CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 17.

By accessing the Services, creating an account, or placing an order, you agree to these Terms, our Privacy Policy, our Consumer Health Data Privacy Policy, and our Refund Policy, each incorporated by reference. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services or purchase products. Our products are intended for healthy adults 18 and older. We currently sell and ship only within the United States. Products are sold for personal use only and not for resale.

2. Health Disclaimer (Important)

SleepCocoa products are dietary supplements. These statements have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease.

Content on the Services, including articles, blog posts, the Sleep Science Library, social media, emails, and customer support responses, is for general informational purposes only and is not medical advice. Nothing on the Services creates a doctor-patient or other professional relationship.

Consult a physician or qualified healthcare provider before using any supplement, especially if you are pregnant, nursing, or trying to conceive; are under 18; have a medical condition; are scheduled for surgery; or take any prescription or over-the-counter medication. Ingredients in our products, including magnesium, L-tryptophan, ashwagandha, valerian, saffron, GABA, and L-theanine, may interact with medications including sedatives, antidepressants (including SSRIs, SNRIs, and MAOIs), blood pressure medication, blood thinners, thyroid medication, and immunosuppressants. Do not exceed the recommended serving. Do not drive or operate machinery after use until you know how the product affects you. Discontinue use and consult a doctor if you experience any adverse reaction.

Always read the product label and ingredient list before use. Our products may contain or be made in facilities that handle common allergens. If you have allergies or dietary restrictions, review the label and contact us before purchasing. Individual results vary, and we do not guarantee any particular result.

You are solely responsible for your decision to use our products and for using them as directed.

3. Products, Pricing, and Availability

We try to describe and display our products accurately, but colors, packaging, and formulations may vary and may change over time. The label on the product you receive controls. Prices, promotions, and product availability may change at any time without notice, except as required by law or as described in Section 5 for active subscriptions. We may limit quantities, limit sales to any person, household, or region, and discontinue any product.

If a product is listed at an incorrect price or with incorrect information due to an error, we may refuse or cancel any order for that product, even after it has been confirmed or charged, and we will refund any amount charged.

4. Orders, Payment, and Accounts

Your order is an offer to buy. We accept your order when we ship it. We may refuse or cancel any order for any lawful reason, including suspected fraud, resale, or abuse of promotions, and will refund any amount charged for a cancelled order.

You agree to provide current, complete, and accurate purchase and account information and to promptly update it. You authorize us and our payment processors to charge your selected payment method for all amounts due, including applicable taxes. You are responsible for keeping your account credentials confidential and for all activity under your account.

Promotional codes are limited to one per customer or household unless stated otherwise, have no cash value, and may be modified or ended at any time.

5. Subscriptions and Automatic Renewal

We offer optional subscriptions ("AutoShip"). If you choose a subscription, you agree that your subscription will automatically renew and that we will charge your payment method on each renewal date until you cancel.

  • Price and frequency. The price, discount, and delivery frequency are shown at checkout before you order. For example, a monthly 1-pouch subscription may be offered at an introductory price for the first order (such as $39.00) and then renew at the standard subscription price (such as $49.00) every month, plus applicable taxes, until you cancel. The terms shown at checkout for your order control.
  • Introductory pricing. Any introductory or discounted price applies only for the period stated at checkout. After that period, you will be charged the standard subscription price shown at checkout.
  • Consent. You will be asked to give express, affirmative consent to these automatic renewal terms at checkout. We will send you an order confirmation that includes the automatic renewal terms, the cancellation policy, and how to cancel, and we keep a record of your consent as required by law.
  • How to cancel. You may cancel at any time, online, by logging into your account and clicking "Manage Subscription" (linked in our site footer) and then "Cancel subscription," or by emailing support@sleepcocoa.com. To avoid the next charge, cancel before your next billing date. Cancellation takes effect for future orders. Orders already processed or shipped are not cancelled but may be eligible under our Refund Policy.
  • Pause, skip, and change. You may also pause, skip, or change the frequency of deliveries in your account.
  • Notices. We will give you notice of any change to your subscription price or material terms at least 7 days (and no more than 30 days) before the change takes effect, with instructions to cancel. We will also send an annual reminder describing your subscription, its charges and frequency, and how to cancel, and any other notices required by law.
  • Failed payments. If a renewal payment fails, we may retry the charge, pause your subscription, or cancel it.

6. Shipping and Risk of Loss

We ship within the United States only. Estimated shipping and delivery times are estimates, not guarantees. Title and risk of loss pass to you when we deliver the product to the carrier. If your package is lost or arrives damaged, contact us as described in our Refund Policy and we will work with you to resolve it.

7. Returns, Refunds, and Guarantee

Returns, refunds, and our money-back guarantee are governed solely by our Refund Policy, including its eligibility limits, time windows, and one-claim-per-customer rule. We may decline guarantee or refund requests we reasonably believe are fraudulent, abusive, or outside the Refund Policy.

8. Prohibited Uses

You may not use the Services to: (a) violate any law or the rights of others; (b) purchase products for resale or commercial distribution; (c) submit false, misleading, or fraudulent information, orders, chargebacks, reviews, or refund requests; (d) upload viruses or malicious code; (e) scrape, crawl, or collect data from the Services by automated means without our written permission; (f) interfere with or bypass any security feature; (g) impersonate any person or misrepresent your affiliation with SleepCocoa; or (h) use our name, trademarks, product images, or packaging design in any way that may cause confusion. We may suspend or terminate your access for violating these Terms.

9. Reviews, Comments, and Submissions

If you submit reviews, photos, videos, comments, ideas, or other content ("Submissions"), you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, edit, publish, and display your Submissions, along with the name or username you submit them under, in any media for any purpose, including advertising. You represent that your Submissions are truthful, reflect your honest experience, are your own, and do not violate anyone's rights. You must disclose any material connection to us (such as receiving free product or compensation). If we offer a discount or other reward for leaving a review, it is offered for any honest review, positive or negative, and reviews submitted in exchange for a reward are labeled as incentivized. Employees, owners, and their family members may not post reviews of our products without clearly disclosing that relationship. We may, but are not required to, moderate or remove Submissions. We do not pay for, and will not suppress, reviews based on whether they are positive or negative, except where they violate these Terms or our review guidelines.

10. Intellectual Property

The Services and all content on them, including text, graphics, logos, product names, packaging designs, photographs, videos, and software, are owned by or licensed to SleepCocoa and are protected by copyright, trademark, trade dress, and other laws. SLEEPCOCOA and related names, logos, and packaging are trademarks of Andrew Nassery, used by SuperPrime LLC under license. You may not copy, modify, distribute, sell, or create derivative works from any part of the Services, or use our trademarks or trade dress, without our prior written permission.

Copyright complaints. If you believe content on the Services infringes your copyright, send a notice to support@sleepcocoa.com with the subject "Copyright Notice" that includes the information required by 17 U.S.C. § 512(c)(3).

11. Third-Party Links and Services

The Services may link to or integrate third-party websites, platforms, and services (including payment, shipping, review, and social media providers). We do not control and are not responsible for third parties, their content, or their practices. Your use of third-party services is at your own risk and subject to their terms.

12. Text Messages and Emails

If you opt in to marketing texts, you agree to receive recurring automated marketing messages at the number you provide. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Carriers are not liable for delayed or undelivered messages. You may unsubscribe from marketing emails using the link in any email. We may still send transactional messages about your orders, subscription, and account.

13. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN OUR REFUND POLICY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL PRODUCE ANY PARTICULAR RESULT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUPERPRIME LLC, ANDREW NASSERY, OR OUR MEMBERS, MANAGERS, EMPLOYEES, AGENTS, LICENSORS, MANUFACTURERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THEIR POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100.

These limitations do not apply to liability that cannot be limited under applicable law, such as liability for death or personal injury caused by our gross negligence or willful misconduct, or for fraud.

15. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless SuperPrime LLC, Andrew Nassery, and our members, managers, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your Submissions, your misuse of the Services or products (including use contrary to label directions or warnings), or your violation of any law or third-party right.

16. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or if we reasonably believe your conduct harms us, other customers, or third parties. Sections that by their nature should survive termination will survive, including Sections 2, 7, and 9 through 20.

17. Dispute Resolution; Binding Arbitration; Class Action Waiver

17.1 Informal resolution first

Before starting arbitration or any court action, you and we agree to try to resolve any dispute informally. The party with the dispute must send a written notice that includes their name, contact information, order number (if any), a description of the dispute, and the relief sought. Send notices to us at SuperPrime LLC, Attn: Legal, 5665 Wilshire Blvd #1297, Los Angeles, CA 90036, with a copy to support@sleepcocoa.com. We will send notices to the email or address associated with your order or account. If the dispute is not resolved within 60 days after the notice is received, either party may proceed as described below. Statutes of limitations are tolled during this period. This requirement is a condition to starting arbitration.

17.2 Agreement to arbitrate

Except as provided in Section 17.5, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any product, any advertising or marketing, any subscription, or our relationship (each a "Claim"), including Claims about the validity, scope, or enforceability of this Section, will be resolved by final and binding individual arbitration, except that a court will decide any dispute about the enforceability of the class action waiver or the batch arbitration provision. This agreement is governed by the Federal Arbitration Act.

17.3 Arbitration rules and costs

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at www.adr.org), as modified by these Terms. The arbitration will take place in the county where you live or by video conference, unless both parties agree otherwise. If your Claim is for $10,000 or less, the arbitration will be decided on written submissions unless the arbitrator requires a hearing. Payment of filing, administrative, and arbitrator fees will be governed by the AAA Consumer Rules, and we will pay any fees the rules require us to pay. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent needed to provide relief warranted by that party's individual Claim.

17.4 Class action and jury trial waiver

YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person's Claims or preside over any class or representative proceeding, except as provided in Section 17.6. If this class action waiver is found unenforceable as to any Claim, that Claim (and only that Claim) will be severed and decided in court, and all other Claims will be arbitrated.

17.5 Exceptions

Either party may (a) bring an individual Claim in small claims court if it qualifies and stays there, and (b) seek injunctive or other equitable relief in court to protect intellectual property rights (such as trademarks, trade dress, copyrights, or trade secrets). Nothing in this Section prevents you from bringing an issue to the attention of a government agency.

17.6 Mass arbitration and batching

If 25 or more similar Claims are filed against us by or with the help of the same or coordinated counsel or entities ("Mass Filing"), the parties agree that: (a) the Claims will be administered in batches of up to 100 Claims each, with one arbitrator appointed per batch; (b) only one set of filing and administrative fees will be due per batch; (c) the arbitrator will issue one award per batch, with individual relief for each claimant; and (d) the informal resolution requirement in Section 17.1 must be met for each Claim before it is filed. Statutes of limitations are tolled for Claims waiting to be batched. A court may enforce this provision and resolve any dispute about whether it applies.

17.7 30-day right to opt out

You may opt out of this arbitration agreement by emailing support@sleepcocoa.com with the subject line "Arbitration Opt-Out" within 30 days after you first accept these Terms. Include your name, the email address associated with your account or orders, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms.

17.8 Changes to this Section

If we change this Section 17 after you accept it, the change will not apply to any Claim you notified us of before the change. You may reject a material change by emailing us within 30 days after it takes effect, in which case the prior version will apply to you.

17.9 Severability of this Section

Except as stated in Section 17.4, if any part of this Section 17 is found unenforceable, the rest of the Section remains in effect.

18. Governing Law and Venue

These Terms are governed by the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to conflict-of-law rules. For any Claim not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California, except that small claims may be brought where you live.

19. Changes to These Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a new "Last updated" date. Material changes will not apply retroactively and, where required by law, we will give you notice before they take effect. Your continued use of the Services or any new order after the update means you accept the updated Terms. Changes to an active subscription's price or material terms will follow Section 5.

20. General

These Terms, together with the policies incorporated by reference, are the entire agreement between you and us about the Services and replace any prior agreements. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will stay in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Headings are for convenience only. The word "including" means "including without limitation."
